NH Hotels SA

The monumental 5-star Barbizon Palace in Amsterdam consists of a hotel with 268 rooms and suites, an apartment building, Saint Olof's Chapel, which is used as an event space, and 26 underground parking spaces. The property was extensively renovated in 2016 and is leased to the NH Group under a long-term contract.

The real estate tax team advised NH Hotels SA on the sale (via auction process) of NH Barbizon Palace to DEKA (sale-and-leaseback), including undertaking extensive vendor due diligence, advising on the tax structuring and negotiation of the SPA and related documentation.

She advises investment companies in the purchase, sale and encumbrance of commercial real estate, and advises on various projects with respect to the division into apartment rights, the creation of long lease, vesting of mortgages and the sale of newly built apartments.

Sebastiaan specializes in indirect taxes such as VAT and real estate transfer tax issues.

The real estate tax team advised Millten B.V., Harvest Vastgoed B.V. and the consortium of (private) investors on the acquisition of the monumental ‘’Westergasfabriek’’ terrain in Amsterdam, including all relevant corporate, notarial and tax work. 

This beautiful city park, with its historic factory buildings surrounded by expanses of green, also has workplaces, venues for large and small events, and a range of catering, film, theatre and exhibition facilities.
